Terms of Service

1. The agreement

BoardRepo is operated by Flintt, Inc., a Delaware corporation at 2261 Market Street STE 13714, San Francisco, CA 94114, United States. In these terms, “BoardRepo,” “we,” and “us” mean Flintt, Inc. These terms apply to boardrepo.com, the BoardRepo KiCad plugin, the Astra Arena, APIs, and connected-assistant services.

By using BoardRepo, you agree to these terms and our Privacy Policy. If you use BoardRepo for a company or other organization, you confirm that you can accept these terms for it. If you do not agree, do not use the service.

2. Age, accounts, and organizations

You must be at least 13, or older if the law where you live sets a higher minimum age for agreeing to online terms, and old enough to enter a contract where you live. Keep access to your email, linked identity accounts, and BoardRepo sessions secure. You are responsible for activity under your account unless you promptly tell us it was used without permission. Contact [email protected] if you think an account has been compromised.

An organization is a shared account for a company, team, or group. The person who creates it confirms that they may accept these terms for it, and its admins are responsible for how it is used. Admins decide who is a member, which boards each member can reach, and how organization-owned boards are shared. Members can see who else belongs to the organization. When a member is removed or leaves, boards owned by the organization stay with the organization. Deleting an organization permanently deletes the boards it owns, so export anything you need first.

3. What the service does

BoardRepo stores electronics design projects, renders supported source formats, and lets you share the resulting project page. Features can include previews, version history, comments, BOM data, fabrication outputs, repository imports, organizations, the KiCad plugin, APIs, automated checks, BoardRepo Ask, the Astra Arena, and connections to outside assistants. Some features are marked experimental or depend on third-party services.

4. Your content

Your projects, files, comments, and other material remain yours (“Your Content”). We still need permission to handle them. You give BoardRepo a worldwide, non-exclusive, royalty-free license to host, copy, process, convert, render, and display Your Content for the limited purpose of running, securing, and improving BoardRepo for you and the people you share with. For a public project, that includes showing its name, previews, license, and owner in BoardRepo listings, search, link previews, and material that describes the service. That permission ends when Your Content is deleted, apart from temporary backups, copies we must keep for legal reasons, and copies somebody already obtained.

Only upload material you have the right to use and share. That includes confidential information, other people's personal data, and the symbols, footprints, 3D models, and libraries a project carries from other people. BoardRepo does not take ownership of Your Content, and these terms do not give BoardRepo the right to train AI models on it. Your Content also keeps whatever license you attach to it; we do not change or add to that license.

5. Public and private sharing

Making a project public means anyone can open and download it, and you allow every visitor to do so. Search engines and automated systems may read it too. Anything beyond viewing and downloading, such as modifying, redistributing, or manufacturing from the design, depends on the license you attach. Without a license file, you keep all rights and a visitor needs your permission, apart from remixing on BoardRepo as described below. A private link is unlisted, but anyone with a working link may be able to open it. A password adds a separate check. Changing visibility or deleting the project cannot recall a copy that was already downloaded.

Some public boards were not uploaded by their authors. BoardRepo imported them from public GitHub repositories and holds each one under a placeholder profile until its author claims it. Each imported board is labeled, names its source repository, and shows the license that repository declares; a repository without a license file is shown as keeping all rights. BoardRepo does not claim ownership of an imported board, and you may use one only on the terms of its own license. The author can claim the board or have it removed with a plain request; see the copyright page.

A remix is a copy of a public board, with its version history, made in another account so its new owner can change it. For a project whose first version you upload on or after October 2, 2026, making it public gives every BoardRepo user a worldwide, non-exclusive, royalty-free license to remix it on BoardRepo, and to view, download, change, and share that remix through BoardRepo's features. A remix stays public, names the board it came from, and keeps the license files it copied. This license covers BoardRepo only: using a remix's files anywhere else depends on the license you attach. Making the project private or deleting it stops new remixes but does not remove remixes already made. Projects first uploaded before that date, and boards imported from GitHub, can be remixed only when they carry a license, and only on that license's terms.

6. Generated and AI-assisted output

Do not treat a BoardRepo output as a manufacturing sign-off. A rendering, converted design, BOM, check, review, fabrication file, summary, or AI answer may be incomplete or wrong. Open the source in the right EDA tool and run the review, DRC, ERC, safety, and fabrication checks you would normally run before building or ordering anything.

BoardRepo Ask, an Astra Arena review, and an outside connected assistant are different features, but each sends a request and the board information needed to answer it to a third-party AI service provider. For an outside connection, BoardRepo shows the permissions before you approve them, and you can revoke the connection later. See our Privacy Policy for details.

The Astra Arena is a public leaderboard. Only the owner of a public board can enter it. Entering publishes an AI-written review, a score, and the board's name and owner handle on the leaderboard, where anyone can read and link to them. The review is a model's opinion in a deliberately blunt voice, not an engineering assessment, and it can be wrong. You can unlist or delete a review from its page at any time; a review never changes the visibility of the board itself.

7. Acceptable use

Do not use BoardRepo to:

• break the law or infringe intellectual property, privacy, or other rights;
• upload malware or material intended to harm people, equipment, or systems;
• access another person’s private data without permission;
• probe or defeat access controls, or disrupt or overload the service;
• evade storage, rate, or usage limits;
• scrape or bulk-download in a way that degrades the service or ignores access restrictions;
• impersonate someone or misrepresent your affiliation;
• store or share technical data in breach of export-control or sanctions law, or use the service from a place or on behalf of a person where that law forbids it; or
• post unlawful, harassing, hateful, or sexually exploitative content.

We may rate-limit, remove, hide, or restrict content and accounts when reasonably needed to enforce these rules, comply with law, protect others, or keep BoardRepo working. Decisions are made by people, with automated limits on volume and abuse. When we hide or remove content or restrict an account for one of these reasons, we tell the account holder what was affected and why, and how to reply, unless the law or a security risk prevents it.

Anyone can report content they believe is unlawful. Copyright notices go to the designated agent in section 8. Report anything else to [email protected] with the URL and the reason you believe the content is unlawful, and we will review it and tell you what we did.

8. Copyright notices

If you believe material on BoardRepo infringes your copyright, send a written notice under 17 U.S.C. § 512(c)(3) to our designated agent, registered with the U.S. Copyright Office:

9. Third-party services

BoardRepo relies on third-party hosting, storage, email, analytics, identity, AI, parts pricing and stock, and error monitoring services. Projects can also contain links, libraries, parts data, and files from third parties, and board pages can link to distributors and manufacturers. Their services and content are governed by their own terms, and we are not responsible for them.

10. Software and our intellectual property

The BoardRepo service, the BoardRepo KiCad plugin, the site design, documentation, and the BoardRepo name and logo belong to Flintt, Inc. and its licensors. These terms do not give you rights in them beyond the use described here. Open-source components inside the service and the plugin keep their own licenses.

We grant you a limited, revocable, non-exclusive, non-transferable license to install and use the plugin, and to use our APIs and the connected-assistant interface as documented, to work with boards you may access on BoardRepo. Do not copy, modify, redistribute, or reverse engineer the plugin, except where the law allows that despite this term. The plugin may check for and install updates, and an update may change or remove features. Access credentials issued to the plugin or to a connected assistant are for that installation or connection only, and we may revoke them for security reasons.

11. Feedback

If you send us ideas, suggestions, or bug reports, we may use them without any obligation to you. Feedback does not include Your Content.

12. Availability and changes

We may add, change, limit, suspend, or discontinue features. The current core service is free, but that is not a promise that every feature or limit will always remain free. We will show the price and applicable terms before charging for a service. We do not promise uninterrupted availability or permanent storage. Keep your own copy of anything important.

13. Suspension and termination

You may stop using BoardRepo at any time and may request account deletion at [email protected]. We may suspend or terminate access for a serious or repeated breach of these terms, legal or security risk, nonpayment for a paid service, or conduct that harms BoardRepo or others. If practical, we will give notice and a chance to export content before a termination that is not caused by your breach or an urgent risk.

When the agreement ends, your right to use the service ends. The terms that by their nature should continue do so: the permission covering copies already made under section 4, sections 10 and 11, sections 14 through 17, and section 19.

14. Disclaimers

To the extent allowed by law, BoardRepo is provided “as is” and “as available,” without warranties of merchantability, fitness for a particular purpose, title, non-infringement, or that the service or its output will be accurate, secure, uninterrupted, or error-free. Nothing in these terms excludes a warranty or right that cannot legally be excluded.

15. Limitation of liability

To the fullest extent allowed by law, Flintt, Inc. and its officers, employees, and suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, data, or production. Our total liability for claims arising from BoardRepo will not exceed the greater of USD 100 or the amount you paid us for the service during the 12 months before the event giving rise to the claim. These limits do not apply where the law does not allow them.

16. Indemnity

To the extent allowed by law, you will defend and indemnify Flintt, Inc. against third-party claims, damages, and reasonable costs arising from Your Content, your unlawful use of the service, or your material breach of these terms. This does not require you to cover a claim caused by our own misconduct.

17. Governing law and disputes

Delaware law governs these terms, without regard to conflict-of-law rules. State and federal courts located in Delaware will have exclusive jurisdiction, unless consumer law where you live gives you the right to bring a claim elsewhere.

Before either of us starts a court case, we agree to try to resolve the dispute informally. Send a description of the problem and what you want to [email protected]; we will contact you at the address on your account. If we have not resolved it within 60 days of that notice, either of us may proceed. This does not delay a request for an injunction to stop unauthorized use of the service or of someone's content, and it does not affect your right to use a small-claims court. Where the law where you live allows it, a claim arising from these terms or the service must be started within one year of the date it arose.

18. Changes to these terms

We may update these terms as BoardRepo changes. For a material change, we will update the date above and give notice in the product or by email to the address on your account. The updated terms apply from the stated date. If you do not agree, stop using the service.

19. General

If one part of these terms cannot be enforced, the rest remains in effect. A delay in enforcing a term is not a waiver. You may not transfer these terms without our consent; we may transfer them as part of a merger, financing, reorganization, or sale of the service. These terms and the documents they link to are the entire agreement about BoardRepo. They create no partnership, employment, or agency relationship, and nobody other than you and Flintt, Inc. can enforce them.

Neither of us is responsible for a delay or failure caused by something outside our reasonable control, such as an outage at a hosting, AI, or network provider, an act of government, or a natural disaster. This does not excuse a payment you owe.
